Acceptable Use Policy

1. About This Policy
This Acceptable Use Policy (the "Policy") governs how you may use everything AgnitioAI Technologies, Inc., doing business as Agnitio ("Agnitio," "we," "us," or "our"), makes available: our website at agnitio.ai and related sites (the "Site"); the Agnitio platform at app.agnitio.ai and related applications and APIs (the "Platform"); and our Platform-as-a-Service, AI-as-a-Service, AI customization and development services, and any related products, features, or support (together with the Site and Platform, the "Services").
This Policy applies to everyone who accesses the Services: website visitors, account holders and their authorized users, customers, and data supply, demand, and integration partners. By using the Services, you agree to this Policy.
This Policy is part of, and is incorporated by reference into, our Terms of Service and any other agreement under which you access the Services, including any Master Services Agreement, Subscription Schedule, Statement of Work, Platform Partnership Agreement, or Data Processing Addendum (each, an "Agreement"). If a signed Agreement addresses a subject covered here, that Agreement controls for that subject to the extent of any conflict. This Policy sets a floor, not a ceiling: your Agreement may impose additional requirements.
You are responsible for your authorized users' and personnel's compliance with this Policy, and for any use of the Services through your account.
2. General Expectations
When you use the Services, you will: comply with all applicable laws and regulations, including data protection, privacy, consumer protection, advertising, intellectual property, and export and sanctions laws; use the Services only within the scope of your plan, role, and Agreement; provide accurate registration and account information; keep your credentials confidential and secure; and respect the rights of others. You will not use the Services for any unlawful, deceptive, fraudulent, infringing, or harmful purpose.
3. Platform and Service Integrity
You will not, and will not permit any user or third party to:
Unauthorized access. Access or attempt to access any part of the Services, another customer's environment or data, or any account, system, or network without authorization, or circumvent or attempt to circumvent authentication, access controls, usage limits, rate limits, tenant boundaries, or other security or usage-control features.
Interference. Introduce malware or malicious code; probe, scan, or test the vulnerability of the Services except under an authorized security program; or interfere with, disrupt, degrade, or place an undue burden on the Services or the networks and systems that support them.
Reverse engineering. Reverse engineer, decompile, disassemble, or attempt to derive source code, models, model weights, prompts, or the underlying architecture of the Services, except to the limited extent applicable law expressly permits despite this restriction.
Copying and derivative use. Copy, adapt, translate, or create derivative works of the Services or their software; or use the Services, our Content, or our outputs to build, train, or improve a competing product, model, or service.
Extraction. Scrape, harvest, data-mine, or systematically extract Agnitio Content or Platform data other than data you are authorized to access, or use any robot, spider, or automated means to do so, except as the Services expressly allow.
Misrepresentation. Remove or obscure any proprietary notice; impersonate any person or entity; or misrepresent your identity, affiliation, or the source of data or content.
Resale. Resell, sublicense, rent, or provide the Services to a third party except as expressly permitted by your Agreement.
4. Data You Connect, Process, and Activate
The Platform connects to data where it already lives and lets you build, size, compile, and activate audiences. Because you control what data enters the Platform, you carry primary responsibility for that data.
4.1 Rights, Consents, and Lawful Basis
You represent and warrant that you have all rights, permissions, consents, and a valid lawful basis needed to connect, process, and activate the data you use with the Services, and to have Agnitio process it as a service provider on your behalf. You are responsible for providing all required privacy notices and choices to individuals, and for honoring all opt-out, "do not sell or share," suppression, access, and deletion requests. Agnitio acts only as a service provider or processor on your documented instructions and does not operate a consumer consent or opt-out program for your data; where you identify records for suppression, we will honor and pass through that instruction, but identifying those records is your responsibility.
4.2 Prohibited Data
Unless a separate written Agreement expressly allows it, you will not connect, upload, or process through the Services any of the following: Social Security or other government-identification numbers; financial account numbers or data covered by the Fair Credit Reporting Act (FCRA) or the Gramm-Leach-Bliley Act (GLBA); protected health information under HIPAA; biometric identifiers; precise geolocation; data about anyone known to be under 16 years old; or other sensitive personal information as defined under applicable law.
4.3 Prohibited and Sensitive Audience Segments
You will not build, target, or activate audience segments defined by sensitive categories, for example health conditions or treatments, gambling, sexual orientation or behavior, religion, or race or ethnicity, that are treated as sensitive under industry standards (such as the IAB Tech Lab's sensitive-category guidance) or under applicable law, unless a destination platform and applicable law expressly allow it and you comply with their requirements.
4.4 Destination and Integration Requirements
When you activate data to a destination such as a demand-side platform, supply-side platform, social platform, media channel, or other integration, you will comply with that destination's match specifications, policies, and applicable law. You will not onboard or activate data you are not permitted to use on a given destination.
4.5 No Re-Identification or Circumvention
You will not attempt to re-identify individuals from de-identified, hashed, or aggregated data, and you will not combine, enrich, or manipulate data to evade the restrictions in this Policy, a destination's requirements, or applicable law.
Agnitio may classify data as Open, Restricted, or Prohibited and may decline to process or activate Restricted or Prohibited data. Declining to activate specific data is a data decision and is not a rejection of your participation in the Services.
5. Artificial Intelligence, Agents, and Automation
The Services include artificial intelligence, machine-learning models, automated agents, and workflow automation. When you use these features you will:
Maintain human oversight. Review and validate outputs before relying on them. Outputs are probabilistic and provided for informational purposes only; you are responsible for decisions made using the Services.
Avoid high-risk automated decisions. Not use the Services as the sole basis for decisions that produce legal or similarly significant effects about individuals, including decisions about employment, credit or lending, insurance, housing, healthcare, or eligibility for government benefits, without meaningful human review and your own validation.
Not misuse AI features. Not use the Services to generate or disseminate unlawful, deceptive, infringing, defamatory, harassing, or harmful content; not attempt to defeat, bypass, or manipulate safety, moderation, or usage controls; and not use outputs to develop a competing model or service.
Respect model-provider terms. Where you connect your own third-party AI or model provider and API key ("BYO-LLM"), comply with that provider's terms and policies and maintain a valid key; you are responsible for the configurations you establish, the permissions you grant to any agent or integration, and any actions an agent takes in your connected systems.
Not pursue prohibited AI uses. Not use the Services for uses prohibited or restricted under applicable law, such as unlawful surveillance, social scoring, or unlawful biometric categorization of individuals.
6. Website and Communications
When you use the Site and any communications features, you will not: send spam or unsolicited or deceptive messages; phish or attempt to obtain others' credentials or personal information; post or transmit unlawful, infringing, or harmful content; submit another person's personal information without the necessary rights; or misuse assessment tools, forms, or support channels, including by submitting false reports.
7. Commercial Use
You may use the Services for your internal and commercial business purposes as contemplated by the Services, your plan, and any applicable Agreement, including connecting data and building, sizing, compiling, and activating your own audiences and permitted data. You may not, however, use the Services to compete with Agnitio or to build a competing product, model, or service, and you may not resell or independently monetize data or audiences outside an authorized campaign or activation. Fees, activation, and revenue-share arrangements are governed by your Agreement, not by this Policy.
8. Additional Rules for Partners
If you participate as a data supply, demand, or integration partner, the following apply in addition to the rest of this Policy and to your Platform Partnership Agreement:
Data supply partners. You will only connect data you have the rights and consents to use and activate, and you will comply with Section 4 (Data You Connect, Process, and Activate).
Demand and integration partners. You will use audience data received through the Platform only to fulfill activation requests made through the Platform, and you will not repurpose, resell, or independently monetize that data outside an authorized campaign without Agnitio's written consent.
Insurance and destination compliance. You will meet any insurance requirements in your Platform Partnership Agreement and comply with the requirements and policies of each destination you use.
9. Security and Incident Cooperation
If you discover a security vulnerability, suspected breach, or unauthorized access affecting the Services or data processed through them, you will promptly notify us at privacy@agnitio.ai and will not exploit the issue or access data beyond what is necessary to identify and report it. You will cooperate reasonably with Agnitio in investigating and resolving suspected violations of this Policy or security incidents.
10. Enforcement
We may investigate suspected violations of this Policy and take any action we consider appropriate, including classifying or declining to process or activate data, removing or disabling content or data, throttling usage, and suspending or terminating access. Where your use poses a legal, regulatory, security, or reputational risk, we may suspend access, in whole or in part, while we investigate, and we will restore access promptly once the issue is resolved. We may report unlawful activity to the authorities. Our rights under this Policy are in addition to the rights and remedies in your Agreement, which controls for its subject matter to the extent of any conflict.
11. Changes to This Policy
We may update this Policy from time to time. The updated version is indicated by the "Effective" date above. If we make material changes, we will provide notice as required by applicable law or your Agreement. Your continued use of the Services after an update takes effect means you accept the updated Policy.
